These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
12.2 Binding Arbitration
Agreement to Arbitrate: You and RangeLogs.io agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Service, or your relationship with RangeLogs.io (collectively, "Disputes") will be resolved by binding arbitration, rather than in court, except that:
- You may assert claims in small claims court if your claims qualify; and
- You or RangeLogs.io may seek equitable relief in court for infringement or other misuse of intellectual property rights.
12.3 Arbitration Rules and Procedures
The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. The arbitration will be conducted in Madera County, California, or at another mutually agreeable location.
The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms, including but not limited to any claim that all or any part of these Terms is void or voidable.
12.4 Class Action Waiver
YOU AND RANGELOGS.IO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Unless both you and RangeLogs.io agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
If this specific paragraph is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
12.5 Arbitration Costs
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules, unless otherwise stated in this arbitration provision. If the value of your claim does not exceed $10,000, RangeLogs.io will pay all filing, administration, and arbitrator fees, provided your claim is not found by the arbitrator to be frivolous.
12.6 Venue for Court Actions
If for any reason a Dispute proceeds in court rather than in arbitration, both you and RangeLogs.io agree that any judicial proceeding (other than small claims actions) will be brought exclusively in the state or federal courts located in Madera County, California. Both you and RangeLogs.io consent to venue and personal jurisdiction there.
12.7 30-Day Right to Opt Out
You have the right to opt out of this arbitration provision by sending written notice of your decision to opt out to: rangemaster@rangelogs.io within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, all other terms will continue to apply, but neither you nor RangeLogs.io can require the other to participate in an arbitration proceeding.
12.8 Survival
This arbitration provision shall survive the termination of your relationship with RangeLogs.io.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the service at least 30 days before the effective date. Continued use after changes constitutes acceptance of the new Terms.
